1. Definitions

1.1 Solid3: web design. Solid3: the user of these general terms and conditions.

1.2 Client: the individual or entity entering into an agreement with Solid3 for the delivery of services.

1.3 Website: a presentation created under the client’s name for use on the internet, consisting of digital web pages and related files.

2. Applicability

2.1 Signing an agreement with Solid3 implies acceptance of these terms.

2.2 Unless agreed otherwise in writing, these terms apply to all offers, assignments, or agreements.

3. Quotations

3.1 All quotes from Solid3 are non-binding.

3.2 Quotes are only valid if confirmed by the client in writing within 14 days.

4. Start of the Agreement

4.1 An agreement begins once:

a signed order confirmation is received a 30% down payment of the total invoice has been paid

5. Execution

5.1 Solid3 will perform the assignment to the best of its abilities and may outsource work where needed.

5.2 The client must provide all necessary information.

5.3 Solid3 is not liable for errors due to incomplete or incorrect information provided by the client.

6. Delivery & Timeline

6.1 Design and development begin promptly after order confirmation and material delivery.

6.2 Interim versions are placed online temporarily for testing.

6.3 Delivery time extensions will be communicated. Force majeure extends delivery deadlines.

6.4 Solid3 is not liable for issues caused by client hosting misconfigurations.

7. Copyright

7.1 Materials by Solid3 may not be edited or reused without written permission.

7.2 Ownership of ideas, concepts, and drafts remains with Solid3 unless otherwise agreed.

7.3 Solid3 may reuse acquired knowledge unless confidential.

8. Liability

8.1 Solid3 is not liable for third-party issues beyond its control.

8.2 The client is responsible for all submitted content, including copyrights.

8.3 Solid3’s liability is limited to the invoice amount.

9. Complaints

9.1 Clients must report defects within 14 days.

9.2 Complaints do not justify withholding payment.

10. Pricing

10.1 All prices are exclusive of VAT.

10.2 Additional requests will be charged accordingly.

11. Payment

11.1 The signed order becomes a binding contract.

11.2 A 30% deposit is required.

11.2.1 Refunds are only possible if Solid3 fails to deliver as per the test domain.

11.3 After delivery, an invoice for the remaining amount will follow. The site goes live after payment.

11.4 Late payments incur a €20 reminder fee and legal interest if unpaid after 14 days.

12. Changes to Terms

12.1 Solid3 may update its terms.

12.2 Changes apply after 30 days’ notice.

12.3 If the client disagrees, they may cancel the agreement.

13. Other Provisions

13.1 Solid3 does not share personal information unless legally required.

13.2 Hosting-related agreements follow the host’s terms.

13.3 Changes to an agreement must be in writing.

13.4 Solid3 may list projects as portfolio items unless agreed otherwise.

14. Disputes & Applicable Law

14.1 Dutch law exclusively applies to all agreements.
